No sidewalk cafe license shall be issued unless
the applicant shall have executed and filed with the Borough Clerk
an indemnification agreement in a form approved by the Borough Attorney,
pursuant to which the licensee, in further consideration of the issuance
of the license, agrees to forever defend, protect, indemnify and save
harmless Fanwood, its elected officials, officers, agents and/or employees,
from, and against, any and all claims, causes of action, injuries,
losses, damages, expenses, fees and costs, including attorneys fees,
arising out of, or which may arise out of, the operation of such sidewalk
cafe.
